To enable us to deliver the Services effectively, you agree to provide timely access to required platforms, accounts, and information; respond to reasonable requests for input or approval; ensure any content, assets, or access you provide does not infringe third-party rights; and operate your business in compliance with all applicable laws and regulations.
Subscription packages are billed on a recurring monthly basis unless otherwise stated. Website setup fees are one-time charges. All fees are quoted in USD and are due in advance of the relevant service period. Late or failed payments may result in suspension or termination of access to the Services. Hosting fees, where applicable, are billed monthly and may be waived for active subscribers of qualifying packages as described at the time of purchase.
Monthly subscription packages may be cancelled at any time with reasonable notice. Cancellation will take effect at the end of the current paid billing period. One-time setup fees, including website builds, are generally non-refundable once work has commenced, as they cover the allocation of dedicated resources. Refunds, where applicable, are assessed on a case-by-case basis at our sole discretion.
All content, branding, software, workflows, and materials created by Russell Digital Solutions remain our intellectual property unless otherwise agreed in writing. Client-provided content remains the property of the client. Upon full payment, the client receives a license to use the delivered website and system for their own business operations, subject to these Terms.
Our Services may rely on third-party platforms, widgets, and integrations such as calendar tools, communication widgets, and automation systems. We are not responsible for the availability, performance, or policies of these third parties, and your use of them is subject to their respective terms and privacy policies.
Where advertising management is included in your package, we will manage campaigns on your behalf based on agreed strategies and budgets. While we strive to maximize performance, we do not guarantee specific lead volumes, conversion rates, or revenue outcomes, as results depend on many factors outside our control including market conditions and offer quality.
To the maximum extent permitted by law, Russell Digital Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, leads, or business opportunities, arising out of or related to your use of the Services. Our total liability for any claim shall not exceed the amount you have paid us for the Services giving rise to the claim in the preceding three months.
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Services will be uninterrupted, error-free, or that they will produce any specific result. You rely on the Services at your own risk.
You agree to indemnify and hold harmless Russell Digital Solutions and its affiliates from any claims, damages, liabilities, costs, or expenses arising out of your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
We may suspend or terminate your access to the Services at any time if you breach these Terms, fail to make required payments, or engage in conduct that we determine is harmful to us or other users. Upon termination, your right to use the Services ceases immediately.
These Terms are governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the appropriate courts of the jurisdiction in which Russell Digital Solutions operates.
